Detail-Oriented Business Wind-Down Assistant / Paralegal-Type Contract (Denver)

We are winding down a small corporation and are looking for a highly organized, persistent contractor to help complete the administrative closeout.
This role is best suited for a paralegal, legal assistant, experienced bookkeeper, former office manager, compliance specialist, or business-closure professional who is comfortable dealing with government agencies and following tasks through to written confirmation.
The company’s final payroll has already been processed. The primary need is to confirm that all federal, state, and local payroll-tax accounts, registrations, subscriptions, and other administrative obligations are properly closed.
Responsibilities
You would help with tasks such as:
Contacting federal, state, and local government agencies by phone and email
Confirming whether final payroll-tax returns and payments were received
Determining what additional forms, notices, or account-closure requests are required
Following up with the IRS, Colorado Department of Revenue, Colorado unemployment division, City and County of Denver, New York agencies, and other applicable jurisdictions
Confirming that payroll-tax and employer accounts are formally closed
Obtaining written confirmation, case numbers, transcripts, or screenshots showing account status
Coordinating with Gusto, QuickBooks, our accountant, and other vendors
Identifying missing filings, balances, credits, notices, or unresolved administrative issues
Canceling recurring software and vendor accounts after approval
Requesting final statements, refunds, prepaid balances, and zero-balance confirmations
Organizing records in a shared folder
Maintaining a detailed tracker showing:
agency or vendor;
contact information;
account number;
action required;
calls made;
confirmation number;
documents submitted;
next follow-up date;
final resolution
Drafting straightforward emails, letters, and agency correspondence for review
Helping assemble a complete company wind-down archive
This is primarily an administrative and follow-up role. You would not be expected to provide legal or tax advice. Issues requiring professional judgment will be referred to our CPA or attorney.
Ideal qualifications
Prior experience as a paralegal, legal assistant, compliance coordinator, senior administrative assistant, bookkeeper, payroll specialist, or business-operations professional
Comfortable spending time on hold and navigating government phone systems
Able to ask precise questions and document the answers carefully
Persistent with follow-ups and unresolved cases
Familiarity with payroll taxes, employer accounts, business dissolutions, or government filings is strongly preferred
Experience with Gusto, QuickBooks, Colorado Revenue Online, MyUI Employer+, IRS correspondence, or Denver business taxes is helpful
Excellent written communication
Strong attention to detail
Comfortable handling confidential financial and employee information
Able to use Google Drive, spreadsheets, email, PDFs, and online agency portals
Willing to sign a confidentiality agreement
Initial project scope
The first phase will likely include:
Reviewing the existing shutdown checklist and records
Confirming which filings Gusto completed
Contacting each relevant tax agency
Determining whether any returns, payments, or closure forms remain outstanding
Securing written confirmation that each account is closed or documenting exactly what remains
Assisting with related vendor cancellations, refunds, and record organization
The work may expand to other company wind-down tasks depending on fit and experience.
Location and schedule
The company is based in Denver, Colorado. The work can be performed largely remotely, although preference may be given to someone in Colorado who understands state and Denver procedures.
This is a temporary, part-time independent-contractor project. Hours are flexible, but many agency calls must be made during normal business hours.
